Chapter I · General Principles

Article 1

The full name of CEAIE is China Education Association for International Exchange (hereinafter referred to as CEAIE).

Article 2

Nature of CEAIE:
CEAIE is a nationwide non-profit social entity in China conducting international educational exchanges.

Article 3

Mission Statement:
CEAIE is fully committed to:

  • Implementing the strategy of invigorating the country through science, technology, and education
  • Meeting the needs of China’s modernization
  • Developing exchanges and cooperation between the Chinese educational community and the rest of the world
  • Promoting advancement in education, culture, science, and technology
  • Strengthening understanding and friendship among peoples of all countries and regions

CEAIE is registered with the Ministry of Civil Affairs, registration number 0717.

Chapter II · Fields of Operation

Article 6

CEAIE engages in the following fields of operation:

  • Promoting contact, exchange, and cooperation among schools at home and abroad
  • Conducting educational talent training with foreign institutions
  • Organizing bilateral and multilateral international conferences, symposia, and exhibitions
  • Undertaking education programs sponsored by overseas institutions
  • Recruiting foreign teachers to teach in China
  • Organizing international scholars, educators, and students to visit and study in China
  • Facilitating Chinese teachers teaching or training abroad
  • Organizing overseas study visits for Chinese educators
  • Providing consulting services on overseas education
  • Compiling and publishing key publications on Chinese education
  • Raising funds for CEAIE
  • Coordinating educational activities of local chapters and member organizations

Chapter III · Membership

Article 7

CEAIE accepts institutional members.

Article 8

Applicants must meet the following criteria:

  • Agree with the Charter of CEAIE
  • Willingly undertake tasks assigned by CEAIE
  • Play active roles in education and related fields

Article 9

Membership Admission Procedure:

  1. Submit application documents to the Secretariat
  2. Review and verification by the Standing Committee
  3. Approval by the President
  4. Issuance of membership certificate by the Secretariat

Article 10

Rights of Members:

  • Right to elect, vote, and stand for election
  • Participation in CEAIE activities
  • Priority access to CEAIE services
  • Right to make suggestions and supervise operations
  • Freedom to terminate membership

Article 11

Duties of Members:

  • Implement CEAIE policies and resolutions
  • Safeguard CEAIE’s legal rights and interests
  • Fulfill assigned missions
  • Pay membership fees on time
  • Provide relevant data and information

Article 12

Members wishing to terminate membership must notify the Secretariat in writing and return certificates.
Failure to pay fees, participate in activities, or fulfill obligations for one calendar year will be regarded as automatic secession.

Article 13

Members violating the Charter shall be expelled upon approval of the Standing Committee.


Chapter IV · Organizational Structure and Leadership

Article 14

The General Assembly (Member Representative Assembly) is the highest authority of CEAIE. Its functions include:

  • Amending the Charter
  • Electing and changing Council members
  • Reviewing reports, budgets, and plans
  • Electing honorary Presidents and advisors
  • Setting membership fees
  • Deciding major issues

Article 15

The Assembly is valid with 2/3 attendance.
Resolutions pass with more than half of votes.

Article 16

Each term lasts five years.
One extension is allowed, not exceeding one year.

Article 17

CEAIE establishes a Council, elected by the Assembly and accountable to it.

Article 18

Functions of the Council:

  • Execute Assembly resolutions
  • Elect and dismiss leadership
  • Prepare Assembly meetings
  • Decide membership matters
  • Establish branches and offices
  • Supervise administration and funds
  • Decide major issues

Article 19

Council meetings are held every 2–3 years; special meetings may be conducted by mail or email.

Article 20

A Standing Committee is established, meeting legal quorum with 2/3 attendance and approval by 2/3 votes.

Article 21

Standing Committee meets once or twice annually.

Article 22

Leadership Qualifications:

  • Compliance with state laws
  • Prestige in education
  • Under 70 years old
  • Good health and competence
  • No criminal record
  • Full civil capacity

Article 23

Leadership tenure is five years, with a maximum of two consecutive terms.

Article 24

The Secretary-General is the legal representative and may not hold the same role in other organizations.

Article 25

Responsibilities of the President:

  • Preside over meetings
  • Inspect resolution implementation
  • Represent CEAIE externally
  • Approve funding use
  • Submit reports and plans
  • Approve membership and appointments

Article 26

Responsibilities of the Secretary-General:

  • Manage daily operations
  • Implement annual plans and budgets
  • Coordinate Secretariat and members
  • Nominate deputies and department heads
  • Manage staff recruitment
  • Administer funds

Chapter V · Assets Management

Article 27

Revenue Sources:

  • Membership fees
  • Donations
  • Service income
  • Interest
  • Project overheads

Article 28

Membership fees are collected according to state regulations.

Article 29

Revenues must be used within the Charter’s scope.

Article 30

CEAIE shall maintain accurate and complete accounting records.

Article 31

CEAIE shall employ a certified public accountant with proper separation of duties.

Article 32

CEAIE assets are subject to state financial supervision and auditing.

Article 33

Leadership changes require mandatory auditing.

Article 34

CEAIE assets must not be misappropriated.

Article 35

CEAIE is financially independent and self-sufficient.


Chapter VI · Charter Revision

Article 36

Charter revisions must be reviewed by the Council and approved by the Assembly.

Article 37

Approved revisions require state registration approval.


Chapter VII · Termination and Asset Disposal

Article 38

Termination proposals must be initiated by the Standing Committee.

Article 39

Termination must be approved by the Council and Ministry of Education.

Article 40

Liquidation must be completed under official guidance.

Article 41

CEAIE is terminated upon registration cancellation.

Article 42

Remaining assets shall support organizations with similar missions.


Chapter VIII · Supplementary Articles

Article 43

The Council reserves the right to interpret this Charter.

Article 44

This Charter has been reviewed and approved by the Ministry of Civil Affairs.
